Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “Client”, or “you”) and Equitysoft Technologies Pvt. Ltd., a company incorporated under the laws of India (“Company”, “we”, “us”, or “our”), governing your access to and use of WapNotify (“Service”, “Platform”), accessible at wapnotify.com. By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms.

1. About WapNotify

WapNotify is a WhatsApp Business CRM platform developed and operated by Equitysoft Technologies Pvt. Ltd. The Platform enables businesses to manage WhatsApp Business communications, contacts, broadcast campaigns, and team-based conversation workflows through integration with the Meta WhatsApp Cloud API.
WapNotify is an independent software product. It is not affiliated with, endorsed by, or officially connected to Meta Platforms, Inc. or WhatsApp LLC, except through the official WhatsApp Business Platform.

2. Eligibility

  • You must be at least 18 years of age to use this Service.
  • If using on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.
  • You must have a valid WhatsApp Business Account and comply with Meta’s eligibility requirements.
  • The Service is intended for business use only. Personal or consumer use is not permitted.

3. Meta Platform Compliance

Your use of WapNotify involves access to and use of the WhatsApp Cloud API operated by Meta Platforms, Inc. By using this Service, you agree to comply with Meta Platform Terms, WhatsApp Business Terms of Service, WhatsApp Business Policy, WhatsApp Commerce Policy, and Meta’s Acceptable Use Policy.

4. WhatsApp Messaging Obligations

You are solely responsible for your WhatsApp messaging activities and must:

  • Obtain explicit opt-in consent from all end users before sending any WhatsApp message.
  • Provide a clear and easy mechanism for end users to opt out of receiving messages.
  • Honor opt-out requests promptly and not re-message users who have opted out.
  • Use WhatsApp message templates only for permitted use cases as defined by Meta.
  • Not send messages that constitute spam, unsolicited commercial messages, or any form of bulk unsolicited communication.
  • Not transmit any content that is illegal, hateful, discriminatory, defamatory, obscene, or in violation of any third-party rights.

5. Account Responsibilities

  • You are responsible for maintaining the security and confidentiality of your account credentials.
  • You are solely responsible for all activities conducted under your account.
  • You must notify us immediately at sales@wapnotify.com of any unauthorized access or security breach.
  • You may not share, transfer, or assign your account to any third party without prior written consent.
  • Each team member must have their own individual user account. Account sharing is prohibited.

6. Prohibited Conduct

You must not use WapNotify to:

  • Send spam, phishing messages, or any unsolicited commercial communications.
  • Harvest, scrape, or collect end-user data without lawful authority and consent.
  • Impersonate any person, business, or entity.
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Platform.
  • Use the Platform to develop a competing service.
  • Violate any applicable local, state, national, or international law or regulation.

7. Data Ownership and License

You retain full ownership of all content, contacts, and conversation data you submit to the Platform (“Your Data”). By using the Service, you grant us a limited, non-exclusive, royalty-free license to host, store, process, and transmit Your Data solely to the extent necessary to provide the Service. We act as a data processor on your behalf with respect to personal data of your end users.

8. Intellectual Property

The WapNotify Platform, including its software, design, trademarks, logos, and documentation, is owned by Equitysoft Technologies Pvt. Ltd. and protected under applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Platform other than the limited license to use it as expressly set out herein.

9. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. The Service may be affected by WhatsApp Cloud API outages, maintenance, or changes made by Meta. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice where practicable.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Equitysoft Technologies Pvt. Ltd. and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. Our aggregate liability for any claim shall not exceed the greater of INR 10,000 or the amount you paid us in the three months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Equitysoft Technologies Pvt. Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any Meta policy.

13. Termination

Either party may terminate access to the Service at any time. We may suspend or terminate your account immediately and without notice for: material breach of these Terms; violation of any Meta policy; conduct posing a legal or reputational risk; or non-payment of applicable fees.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India. Parties agree to attempt resolution through good-faith negotiation for 30 days before initiating legal proceedings.

15. Changes to Terms

We may update these Terms periodically. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
